Acceptance of terms
By accessing or using any part of the SceneIQ platform—including the AURA Enterprise service and the Contract Review Tool—operated by Scene Reader Studio Technologies ("Scene Reader Studio", "we", "us", or "our") at scenereaderstudio.com, you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not use our Services. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Description of services
SceneIQ provides two distinct products under the Scene Reader Studio Technologies umbrella:
- AURA Enterprise: A batch screenplay-analysis service that processes uploaded screenplay files (.txt and Fountain formats) and returns structured analysis output for studios, development teams, and script operations.
- Contract Review Tool: An AI-assisted document-analysis service that processes uploaded contract files (PDF, DOCX, DOC, TXT, up to 16 MB) and returns a structured review report. This service references Claude, an AI model by Anthropic.
The Services are provided on a software-as-a-service basis. Features, availability, and pricing are subject to change; we will endeavour to provide reasonable notice of material changes.
Eligibility
You must be at least 16 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement. If you are under 18, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
Use of services
Permitted use
You may use the Services for lawful professional or commercial purposes consistent with the intended functionality described above.
Prohibited conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Upload files that contain malware, viruses, or any other malicious code.
- Attempt to gain unauthorised access to our systems, other users' accounts, or any associated networks.
- Reverse-engineer, decompile, or disassemble any part of the Services.
- Scrape, crawl, or use automated means to access the Services at a volume that places unreasonable load on our infrastructure.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Upload content that infringes any intellectual-property rights belonging to a third party.
- Use the Services in any manner that could damage, disable, or impair the Services or interfere with other users' use.
Your content
Ownership
You retain ownership of all documents, screenplay files, and other content you upload to the Services ("Your Content"). These Terms do not transfer any intellectual-property rights from you to us.
Licence to process
By uploading Your Content, you grant Scene Reader Studio a limited, non-exclusive, royalty-free licence to process, transmit, and analyse Your Content solely for the purpose of providing the Services to you. This licence terminates when your uploaded content is deleted from our systems.
Responsibility for content
You are solely responsible for ensuring that Your Content does not violate any applicable law, third-party rights, or these Terms. You represent and warrant that you have all rights, permissions, and authorisations necessary to upload and process Your Content using our Services.
Not legal advice
Scene Reader Studio is not a law firm. No attorney-client relationship is created by your use of the Contract Review Tool or any other part of our Services. Analysis outputs may contain errors, omissions, or inaccuracies, and should be independently verified.
Intellectual property
All intellectual property in the SceneIQ platform, including but not limited to software, user interfaces, logos, and analysis methodologies, belongs to Scene Reader Studio Technologies or its licensors. Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.
Feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation to you.
Third-party services
Our Services incorporate or interact with third-party services, including:
- Formspree — used to receive and route enquiry-form submissions.
- Anthropic Claude API — used to power AI analysis within the Contract Review Tool.
- Cloudflare — used for content delivery and DNS management.
These third parties have their own terms of service and privacy policies. We are not responsible for their acts or omissions. Your use of third-party services is governed by their respective terms.
Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that the Services will be error-free, uninterrupted, secure, or that results will be accurate or complete. AI-generated analysis output is probabilistic and may contain inaccuracies.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SCENE READER STUDIO TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so some of the above may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Scene Reader Studio Technologies and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your use of or inability to use the Services.
- Your Content or the upload, processing, or use of Your Content.
- Your violation of these Terms or any applicable law.
- Your infringement of any intellectual-property or other right of any person or entity.
Termination
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if required by law.
You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination (including disclaimers, liability limitations, and indemnification) will do so.
Governing law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Scene Reader Studio Technologies is registered, without regard to conflict-of-law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
